TALENT TERMS OF SERVICE

THESE TERMS GOVERN PARTICIPATION ON THE GREET PLATFORM AT www.greet.live (the "Site") by you ("you" or "Talent") AS A GREETER OF FANS. TO USE THE SITE AS TALENT YOU MUST AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS TALENT AGREEMENT AND ALL RELEVANT TERMS AND INFORMATION AVAILABLE ON THE SITE FROM TIME TO TIME (together, the "Talent Agreement"). SEPARATE TERMS APPLY TO FANS.
PERSONAL DATA: You agree to provide only true, accurate, up-to-date and complete information to us via the Site. Any personal information provided by you will be treated with appropriate care and security in accordance with our Privacy Policy.
YOUR GREET ACCOUNT: You agree to keep your password secure and confidential and to not allow anyone else to use your email address or password to access the Site or any Content, to not do anything which would assist anyone else to gain access to any secured area of the Site; and to not create additional registration accounts for the purpose of abusing the functionality of the Site or any Content, or other Users, or to seek to pass yourself off as another user. If you think someone else has obtained your account details, please let us know immediately via support@greet.live and we will close your account as quickly as possible. You are responsible to Greet and to others for all activity that occurs under your Greet account. You must be at least 18 years old to create a Talent account on Greet. If you are unable or unwilling to verify your age, you cannot use the platform as Talent. Greet reserves the right to reject or revoke approval at its sole discretion.
1. Who We Are
Greet Limited ("Greet", "we", "us") is incorporated in the UK under Company Number 16731554, with its Registered Address at Amelia House, Crescent Road, Worthing, West Sussex, England, BN11 1RL (support@greet.live). When you register with us, you are contracting with Greet Limited. Please note that the Service (or certain parts of the Service) may not be available in certain countries or via certain platforms. By using the Site and/or the Service, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms and conditions. If you do not agree to (or cannot comply with) all of these legal terms, then you are expressly prohibited from using or accessing the Site and you must discontinue your use and access immediately.
2. What Greet Does
Greet is a technology platform that enables paid, live one-to-one video interactions between fans ("Fans") and you as the Talent (each is a "Greet", and series of Greets delivered by you within the agreed short-time period is a "Session"). The platform provides booking, payment processing, queueing, video delivery, and content capture services ("Service"). Fans may browse available Talent profiles, book and pay for Greets, join queues for scheduled Greets, participate in live one-to-one video interaction Greets with Talent and/or purchase selfies and other platform-facilitated content created by us during Greets (where enabled).
3. Greet as Agent
Greet acts solely as a technology platform and commercial agent. You (and not Greet) are the provider of the underlying Greet experience. When a Fan books and pays for a Greet with you, they must agree to a Greet Contract with all relevant details as approved by you. Greet facilitates the booking, processes the payment, and provides the technology infrastructure to deliver all Greets within each Session. We do not employ or direct you and we do not guarantee the quality, content, or outcome of any Session. You provide your services as Talent as an independent contractor (not an employee or joint venture partner) and Greet's role is solely as a disclosed commercial agent for payment collection and infrastructure. You are solely responsible for your own tax affairs, insurance, and legal compliance and Greet shall not be liable to you or any Fan for your acts, omissions, conduct or content. Any claim relating to the quality, content or conduct of a Session may be directed to Greet for investigation, but Greet's liability shall be limited to the facilitation infrastructure we provide.
4. Greet Delivery and Platform Disclaimers
Every Session you deliver must be booked individually via the Service and in each case is subject to the applicable Session Contract between you and Greet. A Session (and/or any individual Greet) may be terminated or shortened by Greet, or by the platform's automated systems, for any reason including without limitation high demand, queue capacity, time allocation or latency, connectivity or third-party infrastructure issues. You agree to use the Service in accordance with any technical guidelines that may be provided to you (and/or modified by us) from time to time. We shall not be held responsible for any provision of service or electronic delivery that is incompatible with your operating system or other problems specific to your device. We reserve the right to impose limited periods of downtime for maintenance or other interruptions for commercial reasons without prior notice. Specifically, you accept and agree that the Service may be interrupted from time to time due to technical or other issues caused by a telecoms or internet service provider or by network congestion, and that Greet may temporarily suspend provision or operation of the Service for the carrying out of periodic maintenance where necessary or where preferable to improve the Service. Greet will use reasonable efforts to provide prior notice where practicable but you expressly agree that Greet shall not be liable for any loss resulting from any such downtimes or interruptions. If you are in doubt as to whether or not the Service is suitable for your requirements, please carefully evaluate the Service before registering as a User. If you are still unsure, you may contact us via support@greet.live for further information. Nothing herein affects your statutory rights.
5. Your Obligations
You agree to: (i) attend each booked Sessions on time and deliver every agreed Greet within the Session in a professional manner; (ii) maintain a safe, respectful and appropriate environment during all interactions with Fans; and (iii) not solicit any Fan(s) for off-platform contact, payment, or communication. You are responsible for setting and honouring your availability. If you need to cancel a booked Session (or any individual Greet), you must do so with as much notice as reasonably possible. Repeated no-shows or late cancellations may result in account restrictions, reduced visibility or removal from the platform. You are responsible for complying with all applicable laws in your jurisdiction, including tax, consumer protection, advertising standards, and data protection requirements. You further agree to disclose any association you may have with (and any content you use in a Session connected in any way to) a brand or other sponsor, promotion, affiliate or commission arrangement (whether or not for cash or any payment in kind), or any monetised or gifted product or service.
6. Commission
Greet charges a platform commission on each completed Session. The applicable commission rate will be disclosed to you before you accept a booking. The remaining balance (your "Earnings") will be payable to you after deduction of applicable payment processing fees. Earnings become payable after the latest of the following: successful completion of the relevant Session; expiry of any applicable refund or dispute window; and, verification that no chargeback or compliance issue is pending. Greet aims to settle Earnings within thirty (30) days of the Session, subject to the terms of this Talent Agreement, the Session Contract and payment processor timelines.
7. Payments
Greet collects payments on your behalf, as your (disclosed) commercial agent, subject to the applicable Session Contract. All Session prices are set by you, subject to our approval in each case, and displayed to Fans in the applicable currency. All prices are inclusive of VAT (and currency conversion fees may apply if payment is received in a different currency). Greet does not hold funds on its own account; funds are held by the payment processor until settlement. If a Fan initiates a refund request, chargeback or payment dispute, Greet may deduct the relevant amount from your pending or future Earnings. Where a chargeback is upheld and was not caused by Greet, the loss will be allocated to you. Greet shall not be required to provide payment to Talent in relation to any period in which less than fifty pounds (GB£50) is payable to you and any such sum payable but not paid shall be held over until the first accounting period in which the accrued sums exceed such minimum amount.
8. Accounting
Greet will maintain records of account relating to Sessions, and Talent shall have the right, upon reasonable notice, to inspect copies of such records but not more than once in any period of twelve (12) months during the Term (and once in the year thereafter). Any information about Greet which may be obtained as a result of any such inspection will be kept confidential. Such documents relating to any particular accounting statement may be examined only within one (1) year after the date rendered and not more than once. All statements made available to Talent hereunder shall be final and binding twelve (12) months after the date of the relevant statement. If Greet is required by law to withhold any taxes or other moneys hereunder, Greet will where practicable use reasonable endeavors to provide official documentation evidencing such payment or other amount withheld so as to assist Talent to obtain relevant credit.
9. Taxes
You are solely responsible for: (i) reporting and paying all applicable taxes on your Earnings; (ii) providing accurate tax documentation (e.g. W-9 for US persons; W-8BEN or W-8BEN-E for non-US persons); and (iii) complying with any applicable tax withholding obligations in your jurisdiction.
10. Cancellation Rights and Refunds
You may cancel a Session with at least fourteen (14) days' written notice to support@greet.live. Each Fan has the right to cancel a booked Session within fourteen (14) days of purchase without giving a reason, unless that Session begins during the cancellation period (for example, by joining a live queue or starting a booked Session), or if that Session has already begun. The relevant Fan may be entitled to a refund if (i) Talent fails to appear for the booked Greet; (ii) a verified platform-side technical failure prevents the Greet from being substantially delivered; or (iii) the Greet is materially shorter than booked due to a fault not attributable to the Fan.
11. Session Recordings
Each Greet (i.e. each live video and audio chat interaction with a Fan) will be recorded by us: (i) to ensure and maintain safety, trust, platform integrity; (ii) for reasons of fraud prevention, moderation and legal enforcement of this Agreement; and (iii) for offer of sale to the relevant Fan as a souvenir video recording. You will be reminded of the recording when each of your Sessions begins, and your continued participation will constitute your acknowledgement and acceptance that the Session is being recorded. You must not record, capture, screenshot, stream, reproduce, or distribute any Session, independently or otherwise, without our prior written consent. Any violation of this provision may result in immediate account termination and/or legal action. By agreeing to participate in a Session, you consent to the recording and use of your name, image, likeness, and voice by Greet for operational purposes and for inclusion in each recording purchased by a Fan. You accept and agree that: (i) each recording of a Greet may be purchased by the relevant Fan for their own personal non-commercial use; (ii) despite our prevention efforts, Fans may take their own screenshots, photos and/or videos during Greets; (iii) Fans may choose to share the recording (either the official purchased recording or their own illicit recording) on social media; and (iv) Greet shall not be liable to you for any unauthorised recording, unlawful content therein, and/or online posting by any Fan.
12. Likeness Rights
You grant Greet the right to use your name, image, likeness, voice, and biographical information in connection with the platform, including for operational, promotional and marketing purposes. Promotional use of your likeness beyond platform operation will be subject to reasonable prior notice where practicable.
13. Conduct Rules and Policies
You agree to obey all applicable laws when using the Service and to treat Fans with respect and courtesy and at all times, and to comply with any and all instructions that may be given to you by Greet's moderation team. You agree that you are responsible for the content and/or communications you make, send to or initiate via the Site and for everything that you say or do during a Session and you specifically agree (in relation to the Service and all sessions) to:
- not conduct any form of activity or transmit any content or material which is (or might be likely to be) unlawful, harassing, libelous, defamatory, abusive, threatening, harmful, vulgar, obscene, profane, sexually-oriented, racially-offensive or otherwise includes objectionable material or material that might infringe the rights of any other person;
- not make any threats of violence, intimidation, or physical harm or any incitement to violence or dangerous activity (real or perceivable);
- not offer or refer to any content depicting or glorifying violence;
- not offer or refer to any terrorism-related content (including promotion or support);
- not use or refer to any slur, dehumanising language or symbol associated with any hate group;
- not use or refer to any content that might sexually exploit, endanger or depict minors in a sexual context;
- not offer or refer to or exhibit any sexually explicit content, nudity, or pornography, or sexual solicitation, offers of sexual services or non-consensual intimate imagery or sexualised interactions;
- not engage in any commercial activity;
- not impersonate any person or entity;
- not (and not attempt to) record, screenshot, stream, reproduce and/or distribute any Session without the prior written consent of Greet;
- not ask any Fan for private or off-platform contact details;
- not attempt to bypass any Greet queue system, moderation tool or safety measure;
- not engage in unauthorised framing of or linking to the Service or Site (or any part thereof);
- not publish your own (non-Greet) details or those of anyone else;
- not register more than one account for yourself or anyone else;
- not input or transmit content that contains software viruses or any other computer code, files, or programs that are designed or intended to disrupt, damage, or limit the functioning of any software, hardware, or telecommunications equipment or to damage or obtain unauthorised access to any data or other information of any third party;
- not make any use of the Content that would infringe the copyright therein;
- not attempt to modify any software or Content obtained through the Service for any reason whatsoever, including for the purpose of disguising or changing any indications of the ownership or source of the Content or removing (or trying to remove) any "DRM" (digital rights management) information or metadata, save as permitted by applicable law;
- not input or transmit anything which could be used to determine or alter the architecture of the Site, or could be used to decompile, disassemble, or reverse engineer the Site;
- not collect personal data about any Fan for any purpose;
- not use automated means, including spiders, robots, crawlers, data mining tools, or the like to download data from the Site;
- not impose an unreasonable or disproportionately large load on our infrastructure;
- not attempt to gain unauthorised access to Greet's computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Service or the Site; and
- not, for any reason whatsoever, reverse engineer, decompile, disassemble, or otherwise tamper with any security components, usage rules or other protection measures applicable to the Service or Content.
For the avoidance of doubt, you hereby agree to abide by the above Conduct Rules and Policies, which are applied by Greet in a non-discriminatory manner to all users. Please note that any breach of the above Conduct Rules and Policies may lead to civil or criminal liability.
If you encounter or become aware of any objectionable or infringing or unlawful content available within a Session or anywhere on or via the Site, please immediately report such material (and the specific time and location), or if you believe that you are the owner of the copyright or other rights in any material appearing on the Site, or if you have any other complaint about the Site or any Content or other posted materials, please contact us via support@greet.live. There may be adverse legal consequences if you make a false or bad faith allegation through this process.
14. Links
Links from or to third party websites are presented for your convenience only. We do not review, endorse, approve or control, and are not responsible for any sites linked from or to the Site, the content of those sites, the third parties named therein or their products and services. Linking to any other site is at your sole risk and we will not be responsible or liable for any damages in connection with linking. While we hope that you will find the third-party sites to which we provide links to be of interest, we can accept no responsibility in respect of any third-party websites or any information contained therein. We do not endorse any specific artists, labels, products, processes, service providers or other information that may be mentioned on the Site (including those promoted by any advertisers or advertising sponsors).
15. Content and Intellectual Property Rights
The Site, platform and Service, together with all software, content, data and other materials contained therein ("Content") is owned and/or controlled by Greet. You may not copy, modify, distribute, or create derivative works from any Content or part of the platform or Service, without our prior written consent. All Content is provided without any representations or warranties of any kind (implied or express) to the fullest extent permitted by applicable law. You retain ownership of any content you create or submit to the Service (such as your profile information, chat messages, and Session participation) however, by using the platform, you grant Greet a non-exclusive, worldwide, royalty-free, sublicensable licence to use, host, store, reproduce, modify, display, distribute, and transmit your content for the purposes of operating, improving, and promoting the Greet platform. During a Session, despite our prevention efforts, some explicit content may be served to you and accordingly (to the extent permitted by applicable law) you must not rely on the Service to filter or avoid explicit content. The brands, products and service names used in the Site, Service and/or the Content (including without limitation, "Greet") are trademarks or trade names of Greet or its trading partners unless otherwise stated.
16. Liability
To the maximum extent permitted by applicable law, Greet's total aggregate liability to you — whether in contract, tort (including negligence), misrepresentation, restitution, or otherwise — arising out of or in connection with this Talent Agreement or your use of the platform or Service shall not exceed the greater of (a) the total fees you have paid to Greet in the twelve (12) months preceding the claim, or (b) £100. Nothing in this Talent Agreement is intended to exclude or limit liability for death or personal injury caused by negligence or for any fraudulent misrepresentation. Neither GREET nor any owner of Content will be liable for any INCIDENTAL, PUNITIVE, SPECIAL or CONSEQUENTIAL damages of any kind arising from the use of the Service or Content, information, materials or products included on or otherwise made available to you through the sERVICE, OR FOR ANY DAMAGES IN EXCESS OF THE AMOUNT PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE APPLICABLE CLAIM FOR DAMAGES.
17. Warranties and Indemnity
Our Warranties
Greet warrants and represents that it has the right and authority to enter into this User Agreement and to perform its obligations hereunder. Without limiting the foregoing, Greet makes no warranty that: (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the use of the Service will be accurate, complete, reliable or effective; or (d) the quality of any content or services obtained by you from the Site, from us, or from any third parties' websites or applications to which the Site is linked, will meet your expectations or be free from mistakes, errors or defects. The use of the Service is at your own risk and with your agreement that you will be solely responsible for any loss or damage that results from such activities. Greet makes no warranty or representation about the provision or availability at any particular item of Content and Greet reserves the right to remove or cease provision or availability (with or without notice) of any Content at any time without liability to you.
Your Warranties
You warrant and represent that you have the right and authority to enter into this Talent Agreement and that you have the right to and shall comply with all of your obligations hereunder. Additionally, you warrant and represent that: (i) you will use the Service solely for your own personal purposes on your own device(s), and shall not share Content with, or redistribute or transfer any Content to, any other person; (ii) all information provided by you to Greet is accurate and complete at all times (and you will timely provide to Greet any updated or corrected information and ensure such information is correct); (iii) you will comply with applicable law at all times; (iv) you will not use or attempt to use or access Content or any other part of the Service other than in accordance with the terms of the license granted hereunder; (v) save as expressly permitted hereunder, you will not (and will not attempt to) redistribute, copy or publicly display any Content, or otherwise transfer any Content obtained through the Service; and (vi) you will not provide login details or other information to any third party or otherwise assist or permit any unauthorised access to the Service.
Your Indemnity
To the extent permitted by applicable law, you agree to indemnify and hold harmless Greet, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your breach of this Talent Agreement or applicable law, your use of the Service, your conduct during a Session and/or any claim by a third party arising from your actions on the platform. This indemnity shall not apply to the extent that a claim arises from Greet's own negligence, wilful misconduct, or breach hereof.
The Service (including all SOFTWARE, Content and other information, materials and products included on or otherwise made available to you through the site) IS provided "as is" and "as available" without warranties of any kind from GREET or any third party. To the full extent permissible by applicable law, GREET disclaimS all warranties, express or implied, including WITHOUT LIMITATION implied warranties of merchantability and fitness for a particular purpose. GREET does not warrant that the Service or any Content, information, materials or products included on or otherwise made available to you through the site are free of viruses or other harmful components or are accurate or complete.
18. Termination
Subject to any subsisting Session Contract, you may terminate your account at any time by contacting support@greet.live or through the account settings on the Site. Closing your account does not entitle you to cancel any booked Sessions. We may suspend or terminate your account at any time if you breach this Talent Agreement, if we are required to do so by law, or if we reasonably believe your continued use poses a risk to the safety of other users or the integrity of the platform or otherwise becomes commercially unviable. Upon termination, your right to access the Service ceases immediately. Any term of this Talent Agreement that by its nature is intended to survive termination shall continue in effect beyond termination.
19. Force Majeure
Greet shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events outside our reasonable control, including without limitation natural disasters, epidemics, or pandemics, acts of government, war, terrorism, or civil unrest; power outages, internet or telecommunications failures, third-party infrastructure or service failures (including cloud hosting, CDN, and payment processors), cyberattacks, including DDoS attacks; and labour disputes or industrial action. Where a force majeure event continues for more than thirty (30) days, either party may terminate the affected obligations by written notice.
20. Sanctions and Legal Compliance
You represent and warrant that you are not located in, or a resident of, any country or territory subject to comprehensive trade sanctions imposed by the United Kingdom, the European Union, or the United States, and that you are not a designated or blocked person under any applicable sanctions regime. Greet reserves the right to restrict, suspend, or terminate access to the platform where required for compliance with applicable sanctions, export controls, or anti-money laundering legislation.
21. Changes to this Talent Agreement
We may update the terms of this Talent Agreement from time to time. Where changes are material, we will notify you by email or through a prominent notice on the Site when the change(s) take effect and your continued use thereafter shall constitute your acceptance of such change(s). If you do not agree, you should stop using the Service and close your account.
22. General Provisions
This Talent Agreement (together with applicable terms noted on the Site) shall constitute the entire agreement between you and Greet. If any provision of this Talent Agreement is found to be invalid or unenforceable, the remaining provisions continue in full force and effect. Any failure by Greet to enforce a right or provision hereunder shall not constitute a waiver of that right or provision. You may not assign or transfer your rights under this Talent Agreement. This Talent Agreement shall not confer any right on any third party under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
23. Notices and Contact
Notices to you will be sent to most recent email address you provided to us. Notices to Greet should be sent to support@greet.live. If you have any questions about these Terms, please contact us by email via support@greet.live or by post to Greet Limited, Amelia House, Crescent Road, Worthing, West Sussex, England, BN11 1RL.
24. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, subject to any mandatory consumer protection rules that give you the right to bring proceedings in the courts of your country of residence. If you are a consumer habitually resident in the EU, you may benefit from any applicable mandatory provisions of your local law. Nothing hereunder is intended to affect your statutory rights.
